1. Definitions and Interpretation
In these terms and conditions:
- "Services" means Google Ads management, PPC consulting, and related digital marketing services as described in any proposal or agreement.
- "Intellectual Property Rights" means any and all rights in patents, trade marks, service marks, registered designs, copyrights, database rights, know-how, rights in designs and inventions, and the right to sue for past infringements of any of the foregoing rights.
2. General
- These Terms and Conditions contain the entire agreement between us and supersede any prior agreement relating to their subject matter.
- These Terms and Conditions are for the delivery of Services to a business and you warrant that you are not a consumer.
- No amendment to these Terms and Conditions will be effective unless evidenced in writing and signed by both parties.
- Nothing contained within these Terms and Conditions will constitute the relationship of employer and employee between you and the Company.
3. Our Obligations
- We will deliver the Services with reasonable skill and care.
- We will provide alternative arrangements if for any reason an assigned team member is not available.
- We reserve the right, at our sole discretion, to change the content of any Services, the dates upon which each part of the Services is provided, and the team members assigned.
4. Your Obligations
- You must supply us with details of any pertinent information required for the delivery of Services before work has started.
- You acknowledge and agree that we cannot guarantee that you will achieve any specific result as a result of using our Services.
- If we require any input from you whilst delivering the Services you will provide the same in a reasonable and timely manner.
- Any delay in the provision of the Services resulting from your failure or delay in complying with this clause will not be our responsibility.
5. Google Ads Account Management
- We may set up or manage Google Ads accounts on your behalf and provide you with access details.
- You will ensure that all invoices relating to Google Ads spend are paid on time and in full.
- We accept no responsibility or liability for costs, damages, claims, losses and/or expenses arising from factors beyond our control including but not limited to: the costs associated with any campaign, the results it will produce, the positioning of any advertisement, and the effectiveness of such a campaign.
- Google Ads spend is billed directly by Google to you. Our management fees are separate from your ad spend.
6. Payment
- Payment terms will be as set out in the proposal or agreement for Services.
- We reserve the right to suspend Services if payment is not received within the agreed terms.
7. Limitation of Liability
Our total liability arising out of or in connection with the Services shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. We shall not be liable for any indirect, special, or consequential loss or damage.
8. Intellectual Property
All intellectual property rights in any materials we create as part of the Services (excluding your Google Ads account data) shall remain our property until full payment has been received, at which point they transfer to you.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with English law and the parties submit to the exclusive jurisdiction of the English courts.
